We are Global Imagination Travel and are excited to help you with your travel. This agreement (the “Agreement”) sets forth the terms and conditions under which Global Imagination Travel, LLC (referred to as “the Company” or “Global Imagination Travel” or “we”) will provide travel services to our valued clients (referred to as “the Client” or “you”). By engaging in business with Global Imagination Travel, LLC, the Client acknowledges and agrees to be bound by the terms and conditions outlined herein.

  1. Services Provided

1.1 Global Imagination Travel agrees to provide travel-related services, including but not limited to flight bookings, hotel accommodation, tour packages, and travel itineraries, as requested by the Client.

  1. Client Expectations

2.1 The Client must provide accurate and complete information regarding travel preferences, contact details, and other necessary data to facilitate booking.

2.2 The Client should review and verify all travel documents, itineraries, and bookings provided by Global Imagination Travel for accuracy and inform the Company promptly of any discrepancies.

  1. Booking and Payment

Retainer Deposit and Payment Verification

3.1 Global Imagination Travel requests that the Client provide a retainer deposit, calculated based on the estimated budget provided by the Client during the initial consultation.  The retainer deposit is 50% of the travel planning rate conveyed to the Client during the initial consultation. The Company will commence trip research and planning only after the retainer deposit has been successfully collected via Square or accepted via electronic transfers (Zelle, Venmo, Cash App, Apple Pay) or Paypal. Electronic transfers are upon request only.

3.2 Should the Client use an alternative Electronic Transfer method, the company must verify a screenshot to mark it in the system as ‘Paid’. For verification purposes, the Client must email a screenshot to john.ovuera@globalimagination.org for tracking purposes.

3.3 The proposed itinerary for the retainer deposit includes up to three options for single destinations. If the Client does not like the options presented, The Company may be provided with a fourth option without the Client incurring additional costs if the destination(s) discussed in the initial consultation remain the same.

3.3a If a revision occurs, the agreed destination(s) and dates must remain the same without incurring additional fees. For multi-city, group travel, or destination weddings, the proposed itinerary will vary and may require an amended agreement for specification. 

3.4 The retainer deposit will be used as a credit towards the trip upon initial down payment to guarantee the booking. If the Client chooses to forego the proposed option(s) or does not book within 7 days of the proposal meeting, the retainer deposit credit will be up to the Company’s discretion, as pricing and availability are subject to change.

3.4a The Client may incur additional fees should booking occur after the 7-day mark.  The 7-day mark is based on the date the proposal call happens between the Company and the Client. 

Travel Planning Rate and Purpose

3.5 In addition to the retainer deposit, Global Imagination Travel, LLC may charge a travel planning rate to cover the cost of research, planning, and trip management services provided to the Client before or during travel.  The travel planning rate is non-refundable should the Client choose to revise or cancel the trip after the initial down payment to the supplier(s) has been made to secure the trip.

3.6 The travel planning rate compensates Global Imagination Travel for the time and effort invested in creating personalized travel itineraries, conducting research, and organizing various trip components. This rate helps ensure that our clients receive the highest level of dedicated service and attention to detail during the planning phase.

3.7 The specific amount of the travel planning rate will be communicated to the Client before the commencement of research and planning. During the initial consultation, the travel planning rate starts at 4% or USD 50 (whichever is greater) of the estimated trip budget. Depending on the complexity of the trip, the Company may charge a rate greater than 4% or USD 50.

3.7 The travel planning rate or consulting fee for group travel starts at $100 per person USD and will be collected when booking. The Company may request a 50% per person rate to initiate the travel planning process. The Client agrees to understand this rate upon paying the retainer deposit.

Minimum Deposit and Timely Payments

3.8 After the proposal meeting, the Client may be required to pay a minimum deposit to secure and guarantee pricing. Suppose the minimum deposit is not paid to the vendor or supplier promptly. In that case, the Client bears sole responsibility and understands pricing and availability are subject to change at any time. 

3.9 The Client must book one of the proposed itineraries within five days of the proposal meeting, or the Company may request additional fees for research and planning. Should additional costs be requested from the Company to the Client, the dollar amount will be communicated to the Client. It is the Company’s discretion to decide what the additional fees may be should the event take place. The extra cost (s) compensates the Company for added time spent on research and planning. 

Destination Change and Additional Costs

3.10 If the Client decides to change the destination(s) or dates after the research and planning has begun, additional costs beyond the initial travel planning rate are at the Company’s discretion. Please note any further revisions to the proposed itinerary will be subject to additional fees, which will be communicated to the Client for approval before proceeding with the changes.

Non-Refundable Fee and Payment Remittance

3.11 Regardless of the outcome, the travel planning fee remains non-refundable once the research and planning services have been initiated and the retainer deposit has been collected.

3.12 By agreeing to work with Global Imagination Travel, LLC, the Client acknowledges and accepts the terms regarding the travel planning fee for research and planning. The Company is committed to providing exceptional travel experiences, and the fee allows us to dedicate expertise and resources to crafting a tailored and memorable journey for our valued clients.

3.13 Global Imagination Travel requests the Client to remit the payment in full or a specified deposit, as agreed upon with the travel service supplier, for the requested travel services. Payments can be made using approved payment methods. Clients are also given the option to split the payment(s) on multiple credit cards according to the total value of the trip. Should more than one card be used, additional processing fees are at the Company’s discretion. 

3.14 The Client understands that failure to make timely payments may result in the cancellation of reservations or bookings without the Company being liable.

  1. Wholesale Supplier Rate

4.1 If Global Imagination Travel utilizes wholesale suppliers for certain travel-related services, a Wholesale Supplier Rate may be applied. The Rate will be determined based on the rates negotiated with the respective wholesale suppliers and may result in cost savings. The decision to utilize wholesale suppliers and apply the Wholesale Supplier Rate will be made at the sole discretion of Global Imagination Travel. 

4.2 The Wholesale Supplier Rate, if applicable, will be presented as a separate line item in the invoicing and will benefit the Client by reflecting potential cost reductions associated with the use of wholesale suppliers. The Wholesale Supplier Rate is non-refundable and must be paid in full at the time of booking. It is independent from the vendors or suppliers used upon booking. The Company is not responsible for errors or cancellations on behalf of the supplier. 

4.3 The Client acknowledges that the Wholesale Supplier Rate is subject to change based on the agreements and negotiations with wholesale suppliers, and any adjustments will be communicated to the Client promptly.

  1. Cancellation and Refunds

5.1 The Client acknowledges that cancellation policies may vary based on individual travel services such as flights, hotels, tours, etc. It is the Client’s responsibility to be aware of these policies before confirming bookings.

5.2 Refunds for cancellations are subject to the terms and conditions of the individual travel service providers. The Client understands that refund requests are not guaranteed once payment has commenced. The Company does not require refund or cancellation requests and initiates them at its sole discretion. Global Imagination Travel will reasonably assist the Client in obtaining applicable refunds when appropriate.

5.3 Should the refund or cancellation request be denied, the Client is responsible for all costs incurred. Suppose the Client initiates a chargeback with their financial institution without first attempting to resolve the issue with Global Imagination Travel. In that case, the Client agrees to be responsible for any associated fees, costs, or penalties incurred by Global Imagination Travel. Chargebacks initiated without proper communication and attempt to resolve the issue may result in the termination of services and legal action to recover any outstanding amounts

  1. Travel Insurance

6.1 Global Imagination Travel strongly advises the Client to acquire comprehensive travel insurance and trip protection to safeguard against unforeseen circumstances, such as trip cancellations, medical emergencies, or baggage loss. The Company offers travel insurance options to ensure the Client has appropriate coverage during their time away.

6.2 The client’s sole responsibility is to obtain suitable insurance coverage for their journey. The Company may assist in providing information to the Client and recommending a policy type based on personal experience, but the Company is not authorized to give insurance advice. The Client acknowledges that any recommendations the Company provides are based on personal experience and preferences and should not be considered professional advice. The Client understands that they should consult with a licensed insurance advisor to determine the most appropriate coverage for their specific needs. The Company shall not be liable for any losses or damages incurred due to the Client’s failure to obtain adequate insurance coverage or reliance on the Company’s recommendations.

6.3 The Client acknowledges that the recommended insurance policy may not cover their preferences or specific circumstances. It is the Client’s responsibility to carefully review the terms and conditions of the policy to ensure it meets their needs.

6.4 In the event of a claim, the Client must submit the claim directly to the insurance provider according to the procedures outlined in the policy. The Company shall not be held responsible for any delays, denials, or disputes related to insurance claims.

  1. Travel Documents

For Individual Clients

7.1 To book travel with Global Imagination Travel, each Client agrees to ensure their passport remains valid for at least six months beyond the travel date. Each Client is responsible for obtaining and verifying all essential travel documents, including passports, visas, health certificates, vaccinations, and any other required permits before the commencement of their journey.

7.2 Global Imagination Travel will not be held responsible for any adverse consequences arising from an individual Client’s failure to comply with these travel document requirements. Each Client must adhere to these guidelines to facilitate a seamless and enjoyable travel experience.

For Parties of Two or More

7.3 When booking travel with the Company as a party of two or more, the term “Client” refers collectively to all individuals included in the booking. Each member of the group is responsible for ensuring that their passport remains valid for a minimum of six months beyond the date of travel and for obtaining and verifying all essential travel documents, including passports, visas, health certificates, vaccinations, and any other required permits before the commencement of their journey.

7.4 Global Imagination Travel will not be held responsible for any adverse consequences arising from any member of the group’s failure to comply with these travel document requirements. The group organizer is responsible for communicating these guidelines to all group members and ensuring their adherence to them.

For Group Bookings

7.5 For group bookings arranged through Global Imagination Travel, the term “Client” refers to the group organizer or representative responsible for coordinating the booking on behalf of the entire group. The group organizer is responsible for ensuring all group members meet the necessary travel document requirements, including passport validity, visa regulations, health certificates, vaccinations, and other required permits.

7.6 Global Imagination Travel will not be held responsible for any adverse consequences arising from any group member’s failure to comply with these requirements. The group organizer is responsible for communicating these guidelines to all group members and ensuring their adherence to them.

  1. Travel Advisories 

8.1 Global Imagination Travel, LLC will make reasonable efforts to advise the Client to regularly check the travel advisories issued by the U.S. Department of State at https://travel.state.gov/content/travel/en/traveladvisories/traveladvisories.html and any other relevant sources for updated information on travel restrictions, warnings, and alerts for their destination.

8.2 The Client acknowledges that it is their sole responsibility to stay informed about travel advisories and assess the risks associated with their travel destination. The Company strives to provide accurate information; however, it is the sole responsibility of the Client to stay informed about any existing advisories. The Client agrees to independently check travel advisories prior to booking, before, and during travel. Global Imagination Travel shall not be held liable for any consequences resulting from the Client’s failure to heed travel advisories or warnings issued by authoritative sources. 

8.3 The Client acknowledges that Global Imagination Travel, LLC provides recommendations and guidance based on available information but is not responsible for the Client’s actions or decisions regarding travel advisories. 

8.4 The Company shall not be liable for any consequences resulting from the Client choosing to travel against the advisories listed by authoritative sources, including but not limited to:

8.4a Travel disruptions or cancellations due to sudden changes in regulations or entry requirements may result in additional expenses for the client, such as rebooking fees, accommodation costs, or alternative transportation expenses.

8.4b Financial losses incurred from non-refundable bookings or cancellations due to travel advisories may include costs associated with flights, accommodations, tours, or other prepaid expenses not reimbursed by travel insurance or service providers.

8.4c Medical expenses or emergencies arising from travel to areas under travel warnings or restrictions may require costly medical treatment, hospitalization, or evacuation, which may not be covered by the client’s travel insurance or may result in out-of-pocket expenses.

8.4d Legal issues or complications related to non-compliance with local regulations or restrictions may result in fines, penalties, deportation, or legal proceedings, which may incur significant expenses for the client, including legal fees, fines, or compensation payments.

  1. Changes to Itinerary

9.1 If the Client’s travel itinerary changes, including, but not limited to, changes in travel dates, destinations, or accommodations, the Client should promptly inform Global Imagination Travel. Changes are subject to availability and the policies of the respective service providers, and additional fees may apply.

9.2 Global Imagination Travel will make reasonable efforts to accommodate the Client’s requested changes but cannot guarantee availability or the ability to make changes without additional costs.

9.3 The Client acknowledges that changes to the itinerary may result in additional expenses, including but not limited to rebooking fees, fare differences, or penalties imposed by service providers.

9.4 Global Imagination Travel shall not be held liable for any financial losses or inconvenience incurred by the Client due to changes to the itinerary, including but not limited to non-refundable bookings, missed connections, or other related expenses. The Client must carefully review and understand the terms and conditions of their booking, including any change or cancellation policies, before confirming their travel arrangements.

  1. Liability

10.1 Global Imagination Travel is an intermediary between the Client and various travel service providers. While we make every effort to ensure the accuracy and quality of the services offered, we are not liable for any injury, loss, damage, or inconvenience caused by third-party service providers, including but not limited to airlines, hotels, transportation companies, tour operators, or other suppliers.

10.2 Global Imagination Travel will not be held responsible for any unforeseen circumstances, natural disasters, political unrest, civil disturbances, acts of terrorism, strikes, or any events beyond our control that may disrupt travel plans or result in additional expenses for the Client. Examples of such events include but are not limited to flight cancellations, airport closures, travel advisories, or government regulations. 

10.3 The Client acknowledges and accepts that travel involves inherent risks, and Global Imagination Travel shall not be liable for any losses, damages, or expenses incurred due to these risks. The Client is responsible for obtaining adequate travel insurance to cover unforeseen events or emergencies during their trip.

10.4 If Global Imagination Travel is found liable for any damages, the maximum liability shall be limited to the total amount paid by the Client for the travel services booked through Global Imagination Travel.

10.5 The Client agrees to indemnify and hold Global Imagination Travel harmless from any claims, losses, damages, or expenses arising from or in connection with the Client’s use of the travel services provided by Global Imagination Travel or any third-party service providers.

10.6 The Client agrees not to engage in defamation, slander, or libel against Global Imagination Travel, its employees, or affiliated partners. Any false or malicious statements made by the Client that may harm the reputation of Global Imagination Travel will be considered a breach of this agreement. Global Imagination Travel reserves the right to take legal action to protect its reputation and seek damages for any losses incurred due to such actions by the Client.

10.7 While Global Imagination Travel welcomes client feedback to improve our services, the Client agrees not to leave defamatory, misleading, or unjustified negative reviews on public platforms. 

10.8 If the Client is dissatisfied with any aspect of the services provided by Global Imagination Travel, they agree to first address their concerns directly with Global Imagination Travel to seek resolution. 

10.9 If a dispute arises, both parties agree to make reasonable efforts to resolve it amicably and in good faith. However, should the Client leave a negative review without attempting to resolve the issue with Global Imagination Travel, the Client agrees to indemnify and hold Global Imagination Travel harmless from any damages resulting from such reviews.

10.10 Global Imagination Travel reserves the right to take appropriate legal action against the Client for any defamatory or unjustified negative reviews that harm Global Imagination Travel’s reputation or business interests.

  1. Other Legal Provisions

11.1 Global Imagination Travel reserves the right to modify or update these terms and conditions without prior notice. The Client agrees to review these terms periodically for changes. Continued use of Global Imagination Travel’s services after any modifications shall constitute acceptance of the updated terms.

11.2 Any disputes arising from or related to this agreement shall be governed by the laws of the State of Texas, and both parties agree to submit to the exclusive jurisdiction of the courts in Florida.

11.3 If any provision of this agreement is invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Failure by the Company to enforce any provision of this agreement shall not be construed as a waiver of any rights under this agreement.

11.5 This agreement constitutes the entire understanding and agreement between the Client and the Company regarding the subject matter and supersedes all prior written or oral agreements.

11.6 The headings in this agreement are for convenience only and shall not affect the interpretation of the provisions herein.

  1. Confidentiality

12.1 Both parties agree to keep any information shared during business confidential. This includes not selling, distributing, or disclosing it to any third party without obtaining written consent from the other party. The Client’s information will only be shared with relevant suppliers and partners to arrange and facilitate their travel plans.

12.2 Global Imagination Travel is committed to upholding the privacy and security of our clients’ information. Any data sharing will be done solely to ensure a seamless and personalized travel experience for the Client.

  1. Termination

13.1 Termination of Agreement

Either party can terminate this agreement at any time by providing written notice to the other party. The written notice may be an email, letter, or any other written communication that allows for precise and documented proof of the termination request.

13.2 Financial Obligations Upon Termination

In the event of termination, the Client remains responsible for any financial obligations incurred before the termination date. This includes, but is not limited to:

  1. i) Payments Made for Booked Travel Services

Suppose the Client has made payments for travel services already booked or confirmed by Global Imagination Travel at the time of termination. Those payments remain non-refundable and will be subject to the respective supplier’s cancellation policies.

  1. ii) Administrative and Planning Fees

The administrative fee for research and planning, as well as any other applicable fees that Global Imagination Travel has already charged and incurred for services rendered up to the termination date, will not be refunded.

iii) Supplier Cancellation Fees

If the termination results in the cancellation of booked travel services, the Client may be subject to additional cancellation fees imposed by the respective suppliers. These fees will vary depending on the suppliers’ terms and conditions and will be the Client’s responsibility to settle.

13.3 Acknowledgment of Termination

Upon serving written notice of termination, both parties shall promptly acknowledge the receipt of the termination notice to ensure clear communication and understanding of the termination process.

13.4 Ceasing of Services

After termination, Global Imagination Travel will cease all further work on the Client’s travel plans, and the Client will no longer have access to any ongoing or future planning services. Terminating this agreement shall not affect either party’s rights, obligations, or liabilities that have accrued before the termination date.

13.5 Settlement of Outstanding Balances

Suppose there are any outstanding balances or payments owed to Global Imagination Travel by the Client at the time of termination. In that case, the Client agrees to settle these amounts within the timeframes specified by Global Imagination Travel.

13.6 Notice

Please note that termination of this agreement is an exceptional circumstance, and Global Imagination Travel aims to provide exceptional service and ensure the Client’s satisfaction throughout the travel planning process. We encourage open communication to address any concerns or issues before considering termination. Our team is dedicated to resolving queries and finding solutions to meet our clients’ needs.

  1. Governing Law and Dispute Resolution

14.1 This Agreement shall be governed by and construed under the laws of the State of Texas. Any disputes arising out of or relating to this Agreement, including disputes regarding its interpretation, validity, or breach, shall be resolved through mediation or arbitration under the laws of Texas.

14.2 If mediation or arbitration does not result in a resolution, both parties agree to submit to the exclusive jurisdiction of the courts in Florida to resolve any remaining disputes.

  1. Amendments

15.1 Any changes to the terms and conditions of this Agreement shall become effective immediately upon notification to the Client by Global Imagination Travel. Global Imagination Travel will make reasonable efforts to notify the Client of any updates or changes to the terms and conditions. Notification may be provided through email or other means of communication deemed appropriate by Global Imagination Travel.

15.2 The Client is responsible for reviewing the updated terms and conditions, which will be available on Global Imagination Travel’s website or provided upon request. If the Client does not agree to the revised terms, they may terminate this Agreement under the termination clause (Section 13).

  1. Entire Agreement

16.1 This Agreement constitutes the entire understanding between Global Imagination Travel, LLC, and the Client and supersedes all prior agreements, whether written or oral. Global Imagination Travel may amend or modify this Agreement without the need for the Client’s signature, providing Global Imagination Travel with the flexibility to adapt and improve its services to better meet the Client’s needs.

By signing below, both parties acknowledge that they have read, understood, and agreed to the terms and conditions of this Agreement.
